Funding the deal and signing it properly

Christopher Henry, Co-founder, NOIZE6 min readUpdated
A wall of pending deal documents and tight deadlines, beside a white Settlement card signed by buyer and lender.

The loan offer expires on Friday. The sale contract hasn't been reviewed. The settlement date is tight. Nobody has confirmed whether the purchase should be made through the existing company or a new entity. Each piece is moving, but separately, and any one of them could delay the deal.

Buying a business, a property or a competitor needs money and paperwork to arrive together. When Finance, Legal and Accounting work in sequence rather than in parallel, deals stall, offers lapse and costs rise.

The short version

  • Acquisitions and major purchases need funding, legal documentation and the right structure, all aligned to one settlement date.
  • NOIZE Finance helps on the funding side with our dedicated broker, NOIZE Legal coordinates the contract and due diligence, and NOIZE Accounting looks at structure and tax, with an appropriately qualified professional wherever the law requires it.
  • Running them in parallel, from a shared timeline, gets the deal funded, protected and settled on time.
  • NOIZE provides administrative support and business strategy.
  • Where work is outside our skillset, or the law requires it, we make sure an appropriately qualified professional is involved.

What a deal needs

01Funding

Ready finance with conditions that match the contract and timing.

02Contract and due diligence

A reviewed sale contract and a clear picture of what is being bought.

03Structure

The right entity to buy through, considering liability, tax and future plans.

04Tax

Understanding duties, capital gains and ongoing tax implications.

05Settlement

All parties ready to complete on the agreed date.

Why deals stall

  • Finance approved after the contract is signed, leaving the buyer exposed.
  • Due diligence uncovers issues late, forcing renegotiation under time pressure.
  • Structure decided after funding, requiring documents to be redone.
  • Conditions don't match, such as loan conditions that conflict with contract terms.

Running it in parallel

At NOIZE, the departments work from one timeline. Finance and our broker work on the funding while Legal coordinates the contract and due diligence. Accounting confirms the structure and tax position early so documents are prepared correctly the first time. Conditions in the loan and the contract are aligned. Everyone works towards the same settlement date.

> I've been involved in acquisitions where the deal nearly fell over because the finance, legal and accounting advisers had never spoken to each other. The next deal, we put them on one timeline from day one. It settled early.

“What I appreciated most was them pushing back when it mattered.”
Nathan Simon · Avenue Property Gold Coast

An illustrative example

Picture a business owner buying a competitor with a six-week settlement. Finance and our broker line up acquisition funding with conditions matched to the contract. The sale agreement review identifies a lease issue, and an extension is negotiated as a condition. Accounting recommends buying through a new entity and confirms duty and tax implications. The three teams share one timeline, and the deal settles on schedule.

Mistakes to avoid

  • Don't sign a contract before funding conditions are understood.
  • Don't decide structure after documents are drafted.
  • Don't leave due diligence to the last week.

Build a funding pack

Deals move fastest when the paperwork does. For an acquisition, the funding pack should include the heads of agreement, due diligence summary, financials of both businesses, the forecast and the proposed structure.

With everything organised under one cover page, the broker, lender and legal partners all work from the same information, which keeps settlement on schedule.

How NOIZE Finance works with you

The split between our team and an appropriately qualified professional is agreed up front. We agree what makes sense at the strategy or proposal stage, depending on the business and the opportunity. For some clients it is an introduction to our dedicated broker. For others it is a conversation about how to approach a lender, help structuring the information, or preparing the full funding pack with Books and Accounting.

Questions to ask before a major purchase

  • What is the target settlement date?
  • What funding conditions apply, and do they match the contract?
  • What will due diligence cover?
  • Which entity should make the purchase?
  • What duties and taxes apply?
  • Who coordinates the timeline?

Bringing Finance, Legal and Accounting together around these questions early keeps the deal on track.

Where to start this week

If a significant purchase is on the horizon, write down the settlement date you would want and work backwards: funding approval, due diligence, structure decision, contract signing. The gaps show where to start. See finance.noize.com.au and legal.noize.com.au.

How Finance connects to the rest of NOIZE

No department works in isolation, least of all this one. When every department contributes, the business presents as what it is: well run and worth backing. NOIZE Strategy defines the plan and use of funds. NOIZE Books keeps the records current. NOIZE Accounting prepares the statements and forecast. NOIZE Legal coordinates the paperwork when a deal is involved, with an appropriately qualified professional where required. Finance helps bring it all together in a way that suits the client, from an introduction to our dedicated broker to a complete, organised funding pack.

Common questions

Early, ideally before or alongside contract negotiation, so conditions align.
